("Shelf Company")
Although registration of a company in Singapore is usually
very fast, certain client still prefer a ready-made shelf
company to avoid any potential delays during the incorporation process.
If you are one of such clients, we can provide you with a
ready-made shelf company. Note that the fee for a shelf
company is higher than incorporating a new company.
Ready-made, or "shelf" companies are
private limited companies that are already incorporated by us and available for immediate
purchase. Shelf companies have not done any business and have not
entered into any dealings or obligations whatsoever. As the
name suggests, the incorporation documents of these companies have
been kept "on the shelf" in our office, without any practical
usage whatsoever.

Once you purchase one of our shelf companies, the
following services are included in our fee:
- The share will be transferred to you thus giving you
the 100% ownership of the company.
- We will add you as the additional company director
(i.e. in addition to our resident nominee director).
- We will assist you with opening of a bank account in
Singapore, if needed.
- We will provide you with a copy of the following
documents: a) Certificate of Incorporation b) One copy
of M&A c) Share Certificate d) Certificate of Incumbency
- Company Secretarial Service for 1 year
- Company Registered Address Service for 1 year
- Local Nominee Director Service for 1 year
Note: Additional documents can be provided for an
additional fee (Examples: certificate of good standing,
certificate of tax residency, etc.) as and when
required.
Our fee for the above Ready-Made Shelf Company in
Singapore is S$7000 plus a refundable security deposit
of S$3000. The security deposit will be refunded back to
you when you no longer require our
local nominee director service.

Q. What will be the advantages/disadvantages of
ordering a Shelf
Company in Singapore?

Advantages
- The only real advantage of ordering a shelf company
lies in avoiding the potential delay in the name
approval process for a new company. Although the name
can be approved as quick as 2 hours, if there are any
conflicts with an existing name, the name approval
process might get delayed by few days. However in case
of a shelf company, the name is already approved and so
such a potential delay is avoided.
Disadvantages
- Ordering a shelf company is slightly more
expensive
- You will have to choose a name from the
available list
Q. Will I be able to choose a name for the Shelf
Company?
A. We will provide you with a list names of the
available shelf companies. You will need to select one
of the names from the list. If desired, you can always
request a name change for an additional fee of S$400.
Note that the new name will be subject to approval by
the authorities and will add a delay to the timeline.
Q. What documents do you require from me?
A. We will need the following documents from you:
- A copy of the passport and a second ID
- Residential address proof such as a recent copy
(within last 3 months) of
your utility bill, bank statement,
or residential phone bill, mortgage statement, etc.
- Bank reference letter
- A copy of your resume
Note: Our compliance dept may ask for
additional information on a case-by-case basis.
Q. Will I need to sign any documents?
A. Yes, you will need to sign the following
documents after you purchase the shelf company:
- Share transfer document
- Consent to act as director
- Indemnity letter for our local nominee
director
- Our service agreement
Q. When will you send these documents to
me?
A. Once you have made the payment, we will
prepare the necessary documents and
will email them to you for signing. If you
happen to be in Singapore, you can sign the
documents at our office. Otherwise, you will
need to sign these documents witnessed by a
notary public and send them back to us.
Q. How long this process will take?
A. If you are in Singapore, this process will
take only one day. Alternatively if you are
overseas, the process might take few days due to
the logistics involved.
Q. Do I need to visit Singapore for
opening the bank account?
A. Not necessary, depends on the bank.
Q. Can I start operating the company
immediately after the above paperwork is done?
A. Yes, after you have received the documents
from us reflecting your ownership of the
company, you are free to operate your company
immediately.
Q. Can you handle the accounting and
taxation for my company?
A. Yes, we provide full-range of accounting and
tax filing services to our clients. We will
discuss this with you after you have purchased
the shelf company from us.
Q. What will the ongoing maintenance costs
for my shelf company?
A. The following ongoing routine maintenance
services will be required:
- Annual company secretarial agent service
- Annual registered address service
- Annual local nominee director service
- Annual tax filing service
